RESULTS OF THE EXTRAORDINARY GENERAL MEETING & UPDATE ON THE APPOINTMENT OF A NEW AUDITOR

On 24 October 2023, SAE announced it had convened an Extraordinary General Meeting of the Company to approve the appointment of Nexia Singapore PAC ("Nexia") as the Company’s auditor.

The Company is pleased to announce that at its Extraordinary General Meeting held earlier today, the Resolutions set out in the Notice of Extraordinary General Meeting incorporated into the circular published by the Company on 24 October 2023 were duly approved on a poll.

The appointment of Nexia as the Company’s new auditor remains conditional on the approval of the resignation of Moore Stephens LLP ("Moore Stephens") by the Accounting and Regulatory Authority of Singapore (”ACRA”). A further announcement will be made in due course.

Kreston Reeves LLP, the external auditor for the Group’s UK entities, will continue in that role.

A “vote withheld” is not a vote in law and is not counted in the calculation of the proportion of the votes for and against the resolution.
